01 · Acceptance of Terms

By accessing or using oleglitvin.com (the "Site") and any services offered by Oleg Litvin Visual Production (the "Company," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Site or our services.

These Terms constitute a legally binding agreement governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

02 · Services Description

Oleg Litvin Visual Production provides the following services to businesses, primarily in the Toronto–Greater Toronto Area:

• Marketing automation consulting and implementation
• Podcast production (recording, editing, distribution)
• Video and photography production
• AI-powered business systems (voice receptionist, CRM automation)
• Content creation and distribution automation
• Business strategy consulting

Service scope, deliverables, timelines, and pricing are defined in individual service agreements or proposals provided to each client. These Terms govern your use of the Site and serve as the baseline for all service engagements.

04 · Intellectual Property

All content on the Site — including text, graphics, logos, images, video, audio, code, design, and arrangement — is the property of Oleg Litvin Visual Production or its licensors and is protected by Canadian copyright law, international copyright treaties, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from this Site without prior written permission, except for personal, non-commercial viewing.

The name "Oleg Litvin Visual Production," associated logos, and service names are trade names of the Company. Nothing on this Site grants any license to use them.

05 · Client Work and Deliverables

Ownership of deliverables produced through paid engagements (videos, automation workflows, copy, etc.) is governed by the applicable service agreement. In the absence of a written agreement addressing ownership:

• Upon receipt of full payment, clients receive a non-exclusive license to use deliverables for their stated business purpose.
• Oleg Litvin Visual Production retains the right to display completed work in its portfolio unless otherwise agreed in writing.
• Third-party assets incorporated into deliverables remain subject to their original licenses.

06 · Payment Terms

Payment terms are specified in individual proposals or invoices. Unless otherwise stated:

• All prices are in Canadian Dollars (CAD) and exclusive of applicable taxes (HST/GST).
• Invoices are due within 14 days of issuance unless a different term is agreed in writing.
• A late payment fee of 2% per month (24% per annum) may be applied to overdue balances.
• Work may be paused for accounts more than 30 days overdue.
• The $97 audit fee is non-refundable once the session has been conducted.

07 · Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses. Results described on the Site (e.g., hours saved, revenue recovered) are illustrative of past client outcomes and are not guarantees of future results. Individual results vary based on business type, market conditions, implementation quality, and other factors.

08 · Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OLEG LITVIN VISUAL PRODUCTION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the three months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability is limited to the greatest extent permitted by applicable law.

09 · Indemnification

You agree to indemnify, defend, and hold harmless Oleg Litvin Visual Production, its principals, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Site.

10 · Third-Party Links and Services

The Site may contain links to third-party websites or integrate with third-party services (Stripe, ElevenLabs, Google, etc.). These links are provided for convenience only. We have no control over third-party sites and accept no responsibility for their content, privacy practices, or terms.

11 · Cancellation and Refund Policy

Monthly retainer services may be cancelled with 30 days' written notice. No refunds are issued for the current billing period. Project-based work is non-refundable once work has commenced, unless otherwise specified in the service agreement.

If you are dissatisfied with our services, please contact us at oleg@oleglitvin.com within 7 days of delivery of work. We will make reasonable efforts to address concerns.

12 · Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy, incorporated herein by reference.

13 · Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised date. Your continued use of the Site after posting constitutes acceptance. For material changes, we will provide notice via email or prominent notice on the Site.

14 · Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any dispute arising from these Terms or your use of the Site shall be resolved by the courts of Ontario, and you consent to the exclusive jurisdiction of such courts.

Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting us at oleg@oleglitvin.com. We will respond within 30 days.

15 · Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Disclaimer, and any executed service agreement, constitute the entire agreement between you and Oleg Litvin Visual Production regarding the Site and supersede all prior agreements or understandings.
